Sothema: Capital Increase of 630 Million MAD to Finance the Acquisition of Soludia
This operation aims at the acquisition of Soludia Maghreb, a player specialized in hemodialysis in Morocco. Two investors will enter the company’s capital, namely the company’s general manager and Capmezzanine III.
Sothema plans to carry out a share capital increase through a contribution in kind with a nominal amount of 20 million MAD by issuing 406,728 shares at a unit subscription price of 1,550 MAD, including 50 MAD as nominal value and 1,500 MAD as contribution premium.
Thus, the total contribution of the capital increase will amount to 630 million MAD, including 20 million MAD as nominal value and 610 million MAD as contribution premium.
This operation would partially finance the acquisition of 99.99% of the share capital and voting rights of Soludia, whose acquisition price is estimated at around 1 billion MAD, the remaining amount having been paid in cash. It also aims to involve the contributing investors in the company’s performance and results.
The Share Capital Increase aims at the entry of two contributing investors, including Capmezzanine III, the third private equity fund launched by CDG Invest Growth, which offers mezzanine financing and growth capital solutions tailored to high-potential Moroccan and regional companies, as well as Abdellaziz Razkaoui, general manager of Soludia.
As a reminder, Soludia is a player specialized in the field of hemodialysis in Morocco. The company offers a complete range of products for hemodialysis, including powder bicarbonate cartridges, liquid acid and bicarbonate solutions, and other pharmaceutical products distributed on behalf of international partners.
